Optimo for Microsoft Teams — Terms of Use

These Terms of Use (“Terms”) govern your organization’s and end users’ use of the Optimo Microsoft Teams app (“App”) by Optimo. By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

If your organization has a master services agreement and/or data processing addendum with Optimo (collectively, the “Agreement”), that Agreement controls to the extent of any conflict with these Terms. These Terms apply only to the App as used within Microsoft Teams.

1. Service Description

The App delivers survey assignments, reminders, kudos workflows, a personal app experience (including team health insights for managers, notifications, and product feedback), and secure links to the Optimo web application inside Microsoft Teams. It interacts with the Optimo backend to create and record survey sessions, final responses, and engagement data for your organization’s analytics.

2. Installation and Permissions

  • A tenant admin installs the App and grants required permissions (bot scopes, single sign-on via Azure AD for the personal app tabs, and, where applicable, Microsoft Graph permissions to send messages in chats and channels). Your admin approves these during installation or consent.
  • The App uses single sign-on (SSO) to authenticate users who open the personal app tabs. SSO tokens are issued by Azure AD and scoped to the App’s registered Application ID URI; no separate login is required.
  • By installing, the admin represents they have authority to bind the tenant to these Terms and the Agreement (if any) and consents to the processing described in the App Privacy Notice.

3. License and Ownership

  • License: Subject to these Terms, Optimo grants a limited, non-exclusive, non-transferable, revocable license to use the App within your Microsoft 365 tenant for internal business purposes.
  • Ownership: The App, including all related intellectual property, is owned by Optimo and its licensors. No rights are granted except as expressly set out here.

4. Acceptable Use

You will not (and will not permit others to):

  • misuse, reverse engineer, or create derivative works of the App;
  • attempt to access the App or backend systems without authorization;
  • use the App to send unlawful, harassing, discriminatory, or infringing content;
  • interfere with or disrupt the App’s operation or security.

5. Customer Responsibilities

  • Mapping and access: You are responsible for providing accurate employee mappings and permissions so the App can deliver survey assignments to the correct users and display team health insights to authorized managers.
  • Administration: You control which features (e.g., kudos, product feedback, notifications) are enabled and which teams/channels are used.
  • Compliance: You are responsible for your organization’s compliance with applicable employment, privacy, and messaging laws and for obtaining any required consents from users.

6. Privacy and Data Processing

  • Processing: The App processes limited tenant and user information to deliver surveys and record responses. Details are described in the Optimo for Microsoft Teams Privacy Notice.
  • Roles: Optimo generally acts as a processor to your organization (the controller). Data subject requests should be initiated through your organization’s administrator.

7. Availability and Support

  • The App is provided on a commercially reasonable basis. Optimo may update or modify the App, including adding or removing features.
  • Support channels and SLAs (if any) are set out in the Agreement with your organization.

8. Third-Party Platform Terms

Your use of Microsoft Teams and Microsoft Graph is subject to Microsoft’s terms and policies. Optimo is not responsible for Microsoft’s services or outages. The App’s functionality may depend on Microsoft platform availability and permissions.

9. Suspension and Termination

  • You may uninstall the App at any time. Upon uninstall, the App stops sending Teams messages to your tenant.
  • Optimo may suspend or terminate access to the App for security, abuse, or legal reasons. Termination of the App does not terminate your broader Agreement with Optimo.

10. Disclaimers

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OPTIMO’S AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE APP IS LIMITED TO THE AMOUNT PAID (IF ANY) FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, SUBJECT TO ANY DIFFERENT LIMITS IN YOUR AGREEMENT.

12. Indemnification

You will defend and indemnify Optimo against third-party claims arising from your misuse of the App or violation of these Terms, except to the extent caused by Optimo’s breach of these Terms.

13. Changes to the App or Terms

We may update the App or these Terms to reflect operational, security, or legal changes. Material updates will be communicated to tenant admins or posted with a new “Last updated” date.

14. Governing Law

Governing law, venue, and dispute resolution are as set out in your Agreement with Optimo. If no Agreement exists, the laws of the applicable Optimo contracting entity’s jurisdiction apply (without regard to conflict-of-laws rules).
